Merchant Subscription Terms

First Shirt invite-only private beta

Effective date October 7 2026

These Merchant Subscription Terms govern access to First Shirt, the software service provided by Levrist LLC. By affirmatively accepting these Terms, you agree on behalf of the Merchant and represent that you have authority to bind it. First Shirt is a product of Levrist LLC.

1 Contracting Party and Definitions

Levrist LLC is the contracting party and the provider of the Service. In these Terms, "Levrist," "we," "us," and "our" mean Levrist LLC.

"First Shirt" or the "Service" means Levrist LLC's software product for tracking qualifying paid revenue, sending shirt claim invitations, managing claim requests, and facilitating orders through a merchant's own Printful account. First Shirt is not a separate legal entity.

"Merchant" or "you" means the business invited by Levrist LLC to use a pilot account and that pays for the Service.

"Customer" means the Merchant's own Stripe customer who may receive a claim invitation. A Customer is not a First Shirt subscriber and pays nothing to First Shirt or the Merchant for the shirt.

"Request" means a Customer's submission of a shirt size and shipping information through a claim link. A Request is not an order, a shipment, or a promise that a shirt will be sent.

The Free Shirt and thefreeshirt.com are brochure references. They are not contracting parties.

2 Pilot Access

First Shirt is available only to invite-only pilot accounts during a private beta. Levrist may add, change, limit, suspend, or stop beta features or pilot access. Levrist does not promise a public launch date, continuing availability, support hours, response times, or any level of uptime. The current pilot is restricted to United States merchants and customers.

The Merchant must provide accurate account information and protect its login links, credentials, and connected account access. The Merchant is responsible for activity performed through its pilot account by people it authorizes.

3 Subscription and Billing

The subscription price is $49 per month. This price is for access to the First Shirt software only. Levrist LLC bills the subscription through Stripe. The card statement descriptor identifies Levrist, not First Shirt.

The $49 subscription does not include the shirt, shipping, or any Printful charge or fee. When an order is placed through the Merchant's connected Printful account, Printful charges the Merchant's Printful billing method for the shirt, shipping, and Printful's own fees. First Shirt does not mark up those amounts and does not collect them from the Customer.

Your subscription renews monthly at $49 until canceled. You may cancel by emailing hello@thefreeshirt.com from the email associated with your merchant account. Cancellation stops the next renewal; access continues through the end of the current paid billing period. Subscription fees are nonrefundable, and no credits or refunds are provided for partial months or unused access, except where required by law. If Levrist permanently discontinues the paid Service before the end of a paid billing period, Levrist will refund the unused portion of that period. Disconnecting Stripe or Printful does not cancel your software subscription.

Any software subscription refund is between the Merchant and Levrist LLC. Merchandise reprints, merchandise refunds, delivery problems, and shipping claims are matters between the Merchant and Printful and, where applicable, between the Merchant and its Customer. Levrist does not promise to refund or replace a shirt.

4 Connected Accounts and Authorization

The Merchant authorizes Levrist to connect the Service to the Merchant's own Stripe account through Stripe Connect and to the Merchant's own Printful account. The Merchant must maintain those accounts and comply with the separate terms that apply to them.

The Stripe connection allows the Service to read qualifying paid-invoice information needed to determine whether the Merchant's paid-revenue threshold has been met. It does not authorize First Shirt or Levrist to charge the Merchant's customers.

The Printful connection allows the Service to use the Merchant's selected product, design, order settings, and billing arrangement to facilitate an order. The Merchant authorizes the actions it enables through its account settings, including any auto-fulfill settings it turns on and any one-click approve-and-ship confirmation its pilot account is set up to allow.

Levrist is not the merchant of record for charges between the Merchant and its customers. Levrist is also not the merchant of record for the shirt or for charges that Printful makes to the Merchant.

5 How the Claim and Order Flow Works

The standard flow is:

  1. A qualifying paid invoice on your connected Stripe account counts toward the paid-revenue threshold you set.
  2. When the threshold is met, First Shirt emails the Customer a link to request one branded shirt.
  3. The Customer chooses a size and submits a Request.
  4. Under the default review-each setting, you approve the Request before First Shirt places an order. If you enable auto-fulfill, First Shirt may place an order automatically when the Request is eligible and within your monthly shirt limit.
  5. An order is then placed through your own Printful account. Where your pilot account is set up for automatic confirmation (including approve-and-ship or auto-fulfill), First Shirt may confirm the order after it is placed. Otherwise the order may remain unconfirmed until you confirm it in Printful, and an unconfirmed draft does not authorize production or mean a shirt has shipped.

A claim email, a submitted Request, or an open draft order is not a shipment and does not mean that a shirt is on the way.

6 Review Each and Auto Fulfill

Review-each is the default. The Merchant may approve or decline each Request before an order is placed. Where the Merchant's pilot account supports it, the Merchant may use approve-and-ship to place and confirm in one step, or approve without shipping to place only.

The Merchant may instead turn on auto-fulfill and set a monthly shirt limit from 1 through 500, if that option is available on the Merchant's pilot account. Auto-fulfill applies only when the Merchant enables it. A Request that does not proceed under the Merchant's enabled settings and monthly limit remains unfulfilled unless and until the Merchant approves it or the applicable settings allow it to proceed.

The Merchant is responsible for monitoring its settings, its monthly limit, its Printful billing method, and the financial effect of the orders authorized through those settings.

7 Merchant Responsibilities

The Merchant is responsible for its customer relationship, the paid-revenue threshold it selects, the customers it invites, and its decision to approve a Request or turn on auto-fulfill.

The Merchant is also responsible for:

  • Selecting the Printful product and creating or supplying the shirt design in its own Printful account.
  • Confirming that the product, sizing, catalog availability, shipping settings, return approach, and billing method in its Printful account meet its needs.
  • Holding the rights needed to use its names, logos, artwork, and other content on the merchandise and in Customer communications.
  • Providing accurate instructions and customer-facing terms for its own promotion and customer relationship.
  • Handling Customer questions or disputes about eligibility, approval, the merchandise, shipping, delivery, quality, reprints, refunds, or replacements.
  • Obtaining any permissions needed to connect accounts, use customer information, and send claim-related communications through the Service.

8 Acceptable Use

The Merchant may use the Service only for its lawful business purposes and only with accounts and information it is authorized to use. The Merchant must not interfere with the Service, attempt to gain unauthorized access, use the Service to deceive or harm another person, or use it in a way that infringes another person's rights.

The Merchant may not present First Shirt, The Free Shirt, or firstshirt.co as the seller, manufacturer, warehouse, shipper, insurer, bank, money transmitter, or holder of customer funds.

9 Customer Information and Privacy

Levrist processes merchant account information and the Customer information needed to provide the Service. Depending on the step in the flow, that information may include Customer email address, name, shirt size, shipping address, paid-invoice information needed to determine qualification, and claim status.

The Merchant authorizes Levrist to use that information to operate the Service and to provide it to Stripe, Printful, and Resend as described in the First Shirt Privacy Notice. The Merchant remains responsible for its own privacy notices, customer permissions, and legal obligations concerning its customers and connected accounts.

10 Third Party Services

Stripe, Printful, and Resend are third-party services with their own terms, privacy practices, systems, pricing, and availability. Levrist does not control them and is not responsible for their products, acts, omissions, outages, fees, garment quality, shipping performance, or delivery times.

A third-party service may change, restrict, or stop access to a feature needed by First Shirt. Levrist may change or stop the affected feature if that happens.

11 Ownership and License

Levrist and its licensors own the Service, including its software, workflows, documentation, and related intellectual property. Subject to these Terms, Levrist grants the Merchant a limited, non-exclusive, non-transferable, revocable right to use the Service during the subscription for the Merchant's internal business purposes.

The Merchant keeps ownership of its names, logos, artwork, customer information, and other content. The Merchant grants Levrist a limited right to use that content only as needed to provide, secure, maintain, and support the Service and to carry out the Merchant's instructions.

If the Merchant provides feedback, Levrist may use it without restriction or payment, provided that Levrist does not publicly identify the Merchant as the source without permission.

12 Suspension and Termination

Levrist may suspend or terminate pilot access if the Merchant does not pay the subscription fee, breaches these Terms, creates a security or legal risk, misuses the Service, or if Levrist changes or stops the private beta. Where practical, Levrist will give notice before suspension or termination, but it may act immediately when reasonably necessary to protect the Service, third parties, or connected accounts.

You may disconnect connected accounts and stop using the Service. Subscription cancellation and refunds are governed by Section 3. Orders already confirmed through Printful remain subject to Printful's terms; cancellation of First Shirt does not cancel a Printful order.

Sections that by their nature should continue after termination will continue, including payment obligations already incurred, ownership, disclaimers, limitations of liability, indemnity, and dispute provisions.

13 Warranty Disclaimer

To the fullest extent permitted by applicable law, the Service and private beta are provided "as is" and "as available." Levrist disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

Levrist does not warrant that the Service will be uninterrupted, error-free, secure, or suitable for the Merchant's particular purpose. Levrist does not guarantee that a Customer will qualify, open an email, submit a Request, receive approval, or receive a shirt. Levrist does not guarantee garment quality, inventory, fit, shipping, delivery, or any marketing, loyalty, revenue, or brand result.

14 Limitation of Liability

To the fullest extent permitted by applicable law, Levrist will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, business interruption, or loss of data arising from or related to the Service, these Terms, a connected service, a Request, or a shirt order, even if Levrist was advised that the loss was possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEVRIST LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE SOFTWARE SUBSCRIPTION FEES YOU ACTUALLY PAID TO LEVRIST LLC FOR FIRST SHIRT DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE FIRST EVENT GIVING RISE TO THE CLAIM. PRINTFUL CHARGES AND OTHER THIRD-PARTY FEES ARE EXCLUDED. THIS IS ONE AGGREGATE CAP FOR ALL RELATED CLAIMS, NOT A SEPARATE CAP PER CLAIM.

These limitations apply regardless of the legal theory, even if a limited remedy fails of its essential purpose. They do not exclude or limit liability for fraud, gross negligence, willful misconduct, or any liability that cannot legally be excluded or limited. They do not limit the Merchant's obligation to pay fees owed. The fee reflects this allocation of risk.

15 Indemnity

The Merchant will defend, indemnify, and hold harmless Levrist LLC and its officers, employees, and contractors against third-party claims and reasonable defense costs to the extent caused by the Merchant's breach of these Terms, unlawful conduct, unauthorized use or disclosure of customer information, infringement by its designs or content, or promises it makes to customers about merchandise or fulfillment. This obligation does not apply to the extent a claim is caused by Levrist's negligence, fraud, gross negligence, willful misconduct, or breach of these Terms. Levrist must promptly notify the Merchant, allow it to control the defense with qualified counsel, and reasonably cooperate at the Merchant's expense. The Merchant may not settle a claim in a way that admits fault by Levrist or imposes a nonmonetary obligation on Levrist without its written consent. Late notice reduces the obligation only to the extent it materially prejudices the defense.

16 Governing Law and Venue

These Terms and disputes arising from them or the Service are governed by Massachusetts law, without regard to its conflict-of-law rules.

Subject to any nonwaivable legal requirement, the state courts located in Norfolk County, Massachusetts, and the United States District Court for the District of Massachusetts have exclusive jurisdiction over disputes arising from these Terms or the Service. Each party consents to their jurisdiction and venue.

17 Changes to These Terms

Levrist may propose changes to these Terms as the private beta changes. A material change will be presented to the Merchant before it becomes binding, except that Levrist may make an immediate change when reasonably necessary to address law, security, fraud, or third-party service requirements. Continued use after a binding change takes effect constitutes acceptance of the updated Terms.

18 Notices

Contract notices and cancellation requests to Levrist LLC must be sent to hello@thefreeshirt.com. This email contact does not replace any method of formal service of legal process required by law. Levrist does not publish a street address for First Shirt in these Terms; the public contact is hello@thefreeshirt.com.

Levrist may send notices to the email address associated with the Merchant's pilot account.

19 General Terms

These Terms, together with the Privacy Notice and any written pilot terms accepted by Levrist and the Merchant, are the entire agreement about the Service. If part of these Terms is unenforceable, the remaining parts will remain in effect. A waiver must be in writing and applies only to the specific instance stated. The Merchant may not assign these Terms without Levrist's written consent. Levrist may assign them in connection with a merger, reorganization, sale of assets, or similar transaction. These Terms do not create a partnership, joint venture, agency, franchise, or employment relationship.
